Algemene bepalingen

  1. Deze Algemene voorwaarden zijn van toepassing op alle aanbiedingen, orders en koopovereenkomsten die zijn of worden gesloten door Arnott Suspension Products (ook aangeduid als “ARNOTT”) en de koper, evenals op alle adviezen, werkzaamheden of andere diensten die ARNOTT levert met betrekking tot goederen die door ARNOTT worden verkocht, aangeboden of beschikbaar gesteld.
  2. Mondelinge aanbiedingen of toezeggingen zijn alleen bindend voor ARNOTT nadat en voor zover deze schriftelijk zijn bevestigd. Alle aanbiedingen van ARNOTT zijn vrijblijvend, tenzij schriftelijk anders is bepaald.
  3. ARNOTT behoudt zich het recht voor om orders naar eigen inzicht te accepteren of te weigeren. Een overeenkomst wordt geacht tot stand te zijn gekomen nadat ARNOTT een door de koper geplaatste order schriftelijk heeft bevestigd of met de uitvoering van die order is begonnen.
  4. Indien een overeenkomst via e-mail of andere elektronische communicatiemiddelen (zoals het ARNOTT EDI-systeem) wordt gesloten, wordt een dergelijke elektronische communicatie gelijkgesteld aan een schriftelijke verklaring, onverminderd de bepalingen van artikel 1.3, en kan een overeenkomst worden gesloten zonder dat ARNOTT hoeft te voldoen aan eventuele wettelijke vereisten met betrekking tot elektronische communicatie.
  5. ARNOTT behoudt zich het recht voor om overeengekomen prijzen vóór levering aan te passen indien kostenbepalende factoren stijgen, zoals wisselkoersschommelingen, grondstofprijzen, arbeidskosten of overheidsmaatregelen, mits deze wijzigingen na het sluiten van de overeenkomst maar vóór levering plaatsvinden.
  6. Alle afbeeldingen en specificaties van goederen in catalogi, prijslijsten, advertenties en vergelijkbaar materiaal dienen te worden beschouwd als indicatieve weergaven, tenzij ARNOTT schriftelijk uitdrukkelijk anders heeft aangegeven voor een specifieke levering.
  7. ARNOTT heeft te allen tijde het recht om wijzigingen aan te brengen in de te leveren goederen om deze te verbeteren of om te voldoen aan overheidsvoorschriften.
  8. De koper kan een bestelling alleen annuleren na schriftelijke toestemming van ARNOTT, waarbij deze toestemming aan voorwaarden kan worden verbonden die ARNOTT passend acht.
  9. ARNOTT heeft het recht de kosten van verpakkingsmateriaal afzonderlijk in rekening te brengen. Verpakkingen worden niet retour genomen, tenzij ARNOTT wettelijk verplicht is verpakkingen terug te nemen; in dat geval komen de kosten voor het terugnemen of verwerken van verpakkingen voor rekening van de koper.
  10. Indien ARNOTT op grond van toepasselijke wetgeving verplicht is, anders dan wegens gebrekkige prestatie, verkochte goederen terug te nemen, zal de koper alle kosten in verband met deze retourname aan ARNOTT vergoeden.

Levering

  1. Tenzij schriftelijk anders overeengekomen, zorgt Arnott Suspension Products voor het transport van de goederen naar het adres van de koper of naar een door de koper aangewezen bestemming. De transportkosten, evenals eventuele belastingen en bijkomende kosten zoals verzekeringen, invoerrechten en douanerechten, komen voor rekening van de koper. De koper is verplicht de goederen op eerste verzoek van Arnott in ontvangst te nemen. Het risico op verlies of beschadiging van de goederen gaat over op de koper op het moment dat de goederen gereed zijn voor verzending en worden geladen op het transportmiddel op het terrein van Arnott.
  2. De door Arnott opgegeven levertijden zijn indicatief en worden niet beschouwd als bindende termijnen, tenzij schriftelijk anders is overeengekomen tussen partijen. In geval van vertraagde levering moet Arnott schriftelijk in gebreke worden gesteld, waarbij een redelijke termijn van minimaal veertien (14) werkdagen vanaf ontvangst van de kennisgeving wordt geboden om aan haar verplichtingen te voldoen. Indien deze verlengde termijn wordt overschreden, heeft de koper uitsluitend het recht om de koopovereenkomst te ontbinden voor zover het niet-geleverde goederen betreft. Andere rechtsmiddelen met betrekking tot niet-geleverde goederen zijn uitgesloten, tenzij de schade rechtstreeks het gevolg is van opzet, bewuste nalatigheid of grove nalatigheid van het uitvoerend management van Arnott.
  3. Arnott Suspension Products is gerechtigd de verkochte goederen in gedeelten te leveren.
  4. De koper is verplicht de levering op eerste verzoek te aanvaarden. Indien de koper weigert de levering te accepteren, komen alle daaruit voortvloeiende kosten en schade, zoals opslag- en herleveringskosten, voor rekening van de koper.

Betaling

Tenzij schriftelijk anders overeengekomen, zijn alle prijzen exclusief btw, verkoopbelasting, transport- en verzekeringskosten en andere kosten, die worden vastgesteld in overeenstemming met deze Algemene voorwaarden. Alle betalingen dienen te worden verricht in Amerikaanse dollars.

Tenzij schriftelijk anders overeengekomen, dient de koper het volledige aankoopbedrag vooraf te betalen, of het resterende bedrag in geval van een aanbetaling, binnen dertig (30) dagen na factuurdatum, naar keuze van Arnott Suspension Products, door overschrijving of storting op een door Arnott aangewezen rekening, zonder enige inhouding, korting of verrekening. Het indienen van een klacht schort de betalingsverplichting van de koper niet op.

Indien de koper niet binnen dertig (30) dagen na factuurdatum betaalt, is hij in verzuim en worden alle vorderingen van Arnott onmiddellijk opeisbaar. In dat geval is Arnott tevens gerechtigd wettelijke handelsrente te vorderen, vermeerderd met 2%, over het openstaande bedrag tot aan de datum van volledige betaling. De rente wordt, indien van toepassing, jaarlijks berekend en verhoogd met de over dat jaar verschuldigde rente.

Bij niet-tijdige betaling heeft Arnott recht op vergoeding van alle buitengerechtelijke kosten, waaronder maar niet beperkt tot kosten voor herinneringen, ingebrekestellingen of aanmaningen. Deze buitengerechtelijke kosten bedragen minimaal vijftien procent (15%) van het totaal verschuldigde bedrag, met een minimum van USD 1.000.

Arnott kan verlangen dat de koper een door Arnott naar eigen inzicht te bepalen vooruitbetaling verricht voordat met de uitvoering van een order wordt begonnen.

Indien Arnott Suspension Products grotendeels of volledig in het gelijk wordt gesteld in een gerechtelijke procedure tegen de koper, is de koper verplicht alle juridische kosten en honoraria van Arnott te vergoeden, ook indien deze kosten het door de rechtbank toegewezen bedrag overschrijden. Dit geldt ongeacht of de koper hoger beroep instelt tegen de uitspraak.

Retention of Title

  1. ARNOTT will retain title to all goods delivered and to be delivered to the Buyer until full payment of all purchase amounts has been received, as well as any amounts owed by the Buyer pertaining to work performed by ARNOTT in connection with such purchase agreements and any claims pursuant to any failure in the performance of such agreements on the part of the Buyer.
  2. The Buyer will be obliged to store the goods delivered under retention of title with due care, ensuring that they are recognizable as the property of ARNOTT. In addition, it will be obliged to insure such goods against, inter alia, fire and water damage and theft. The Buyer will pledge to ARNOTT any claims it has pursuant to such insurance policies upon ARNOTT’s first request, as additional security with respect to ARNOTT’s claims against the Buyer.
  3. In the event that the Buyer fails in the performance of any obligation vis-à-vis ARNOTT, or in the event that ARNOTT has good reason to fear that the Buyer will fail in the performance of its obligations, ARNOTT will be entitled to recover the goods delivered under retention of title or to have such recovered, even when the goods have to be detached. The Buyer will cooperate accordingly. The Buyer will bear the costs of recovery, without prejudice to ARNOTT’s right to further damages.
  4. Buyer acknowledges that (i) ARNOTT would be irreparably harmed as a result of a breach by Buyer of any provision of these Terms and Conditions (Schedule IV), (ii) no amount of money would adequately compensate ARNOTT for such harm (to the extent not arising from failure by Buyer to pay for goods supplied by ARNOTT), and (iii) it would be difficult, if not impossible, to calculate the monetary damages which might accrue to ARNOTT as a result of such breach. Buyer therefore agrees that in the event of any breach or contemplated breach of the terms or provisions of these Terms and Conditions (to the extent not arising from failure by Buyer to pay for goods supplied by ARNOTT), ARNOTT shall be entitled to obtain an injunction or similar equitable relief against Buyer from any court of competent jurisdiction in order to enforce the provisions hereof. Notwithstanding the foregoing, ARNOTT shall also be entitled to obtain monetary damages to the extent calculable as a result of the breach by Buyer of the provisions of these Terms and Conditions.

Force Majeure

  1. If ARNOTT fails in the performance of its obligations due to an event of force majeure, ARNOTT will not be liable. To the extent that the circumstance making performance impossible is not of a permanent nature, ARNOTT’s obligations will be suspended. In the event that the period during which performance is not possible due to force majeure exceeds two (2) months or is expected exceed two (2) months, both parties will be entitled to cancel the order, without any obligation to pay the damages that may arise as a result.
  2. In the event that ARNOTT has already partially fulfilled its obligations upon the occurrence of the situation of force majeure, or is only able to fulfill its obligations in part, it will be entitled to separately invoice the part already supplied or the part that can still be supplied and the Buyer will be obliged to pay that invoice as if it pertained to a separate order.
  3. A situation of force majeure affecting ARNOTT within the meaning of this article will be deemed to have occurred in the event of, inter alia, strikes, a shortage of raw materials, delay, transport problems, war or threat of war, full or partial mobilization, riots, sabotage, floods, fire or other forms of destruction within ARNOTT’s company, lockouts and industrial actions, breakdowns of machines or tools or other breakdowns within ARNOTT’s company. A situation of force majeure must also be deemed to have occurred on the part of ARNOTT in the event that one or more of the above-mentioned circumstances occurs within the companies of ARNOTT’s suppliers and ARNOTT cannot or could not promptly perform its obligations as a consequence.

Complaints and Inspection

  1. The goods delivered must be checked by or for the Buyer upon delivery with respect to numbers and visible defects and any shortages or visible defects must be reported to ARNOTT immediately after delivery. The Buyer must report defects not visible upon delivery within 48 hours of their discovery, and, if earlier, in any event, within 48 hours after the time that the Buyer should reasonably have discovered them. The Buyer will not be entitled to any claim or damages if the defect results from any incorrect operation, installation, storage, maintenance or from transport or any other event that shall be attributed to the Buyer.
  2. The Buyer will be obliged to perform the inspection or to have the inspection performed with due care, upon receipt of the goods. The Buyer will bear the risk for inspecting the goods by means of random checks and may not rely on the fact that it did not observe a defect that was visible and could have been discovered upon delivery because it – or a third party engaged by it – did not inspect the entire shipment.
  3. In the event of a complaint on good grounds, ARNOTT will only be obliged – to be decided at the ARNOTT’s discretion – to repair the defect, to replace the relevant good or to credit or refund the amount charged in connection with the defective good in whole or in part, according to its own reasonable judgment and to the exclusion of any other rights of the Buyer by law.
  4. Any and all claims for payment of an amount of money and/or repair of the relevant good and/or replacement of the good and/or supply of any missing part, on whatever basis, as well as any right to dissolve the agreement will lapse upon failure to timely report (or late reporting) pursuant to Article 6.1.

Liability

  1. Any liability on the part of ARNOTT based upon or attributable to ARNOTT for failure with respect to any offers, orders and agreements to purchase as referred to in these Terms and Conditions, shall be limited to and restricted solely to the provisions of Section 6.3 above.
  2. ARNOTT will assume no liability with respect to damage as a consequence of or related to any errors or omissions in advice rendered by it, nor will it assume any liability with respect to damage as a consequence of or related to errors or omissions in the processing instructions recommended by it.
  3. ARNOTT will not – irrespective of the legal basis of the Buyer’s claim – be liable for any consequential damages, including but not limited to losses due to delays or loss of data, lost profits, missed savings and penalties forfeited by the Buyer.
  4. Nothing in these Terms and Conditions shall exclude or limit ARNOTT’s liability in the event that the damage is the consequence of gross negligence or willful misconduct on the part of ARNOTT’s executive management.
  5. The Buyer will compensate and indemnify ARNOTT against any claims by third parties and all resulting costs in connection with goods supplied by ARNOTT. Buyer shall indemnify, defend and hold harmless ARNOTT, its officers, directors, employees, agents, owners, members, managers and Affiliates against and in respect of any and all claims, settlements (at ARNOTT’s discretion), demands, losses, costs, expenses, obligations, liabilities, damages, recoveries and deficiencies, including interest, penalties and reasonable attorneys’ fees and disbursements (including but not limited to any attorneys’ fees and disbursements incident to any appeals), that ARNOTT (its officers, directors, employees, agents, owners, members, managers and Affiliates) may incur or suffer which arise, result from, or relate to either (i) any breach of or failure by Buyer to perform any of its duties and/or responsibilities described in these Terms and Conditions or other instrument furnished or to be furnished by Buyer, (ii) any action (or failure to act) of Buyer, including, without limitation, noncompliance with any local, federal and state statutes, rules and regulations, or (iii) any transfer to third parties or misappropriations of any Products. Buyer shall promptly notify ARNOTT of the existence of any claim, demand or other matter to which Buyer’s indemnification obligations would apply, and shall immediately pay such indemnity obligation. ARNOTT shall have the right, but not the obligation, to undertake the defense of, and to compromise or settle the claim or other matter on behalf, for the account, and at the risk of Buyer.

Suspension and Dissolution

Without prejudice to ARNOTT’s rights under these terms and conditions or under the law, ARNOTT may, in any event , be entitled to suspend (further) performance or to dissolve any agreement concluded with the Buyer, in whole or in part, if (i) any goods made available by ARNOTT to the Buyer become subject to attachment, (ii) the Buyer is granted a suspension of payments or is declared insolvent or bankrupt, (iii) any permits or licenses required for the performance of the agreement are withdrawn, (iv) the Buyer fails to fulfill one or more of its obligations ensuing from any agreement with ARNOTT, (v) ARNOTT has sound reasons to believe that the Buyer is or will be unable to fulfill its obligations under any agreement, or (vi) the Buyer ceases its business or if any change occurs in the managerial control or ownership of that business. Any right of the Buyer to suspend performance is hereby specifically excluded.

Applicable Law and Dispute Resolution

These Terms and Conditions and any and all offers and agreements as referred to in Article 1.1 will be governed by the laws of the State of Florida. The UN or other Convention on Contracts for the International Sale of Goods (“CISG”) does not apply. Venue for any legal proceeding or action at law arising out of or construing these Terms and Conditions shall lie in the state or federal courts of Orange County, Florida, and the parties specifically waive any other venue, notwithstanding any conflicts or law of other doctrine to the contrary.

I certify that I understand and acknowledge the inherent risks to my well-being regarding my under-taking the installation of air suspension replacement products and other automotive and motorcycle repair products offered by Arnott, Inc. (the “Products”). Arnott, Inc. has created and makes available instructional videos (on the internet) and installation manuals (on the internet and in hard copy format) for educational and informational purposes only. I agree and acknowledge that such videos, instruction manuals and their content such as graphics, text, video, images, and other material contained in the manuals and videos (collectively the “Content”) are for general educational and informational purposes only, and are not intended to be a complete and accurate explanation of the work methods, process, and protocols to be implemented when installing the Products.

As consideration for Arnott, Inc. making the Content (including such instructional videos and installation manuals) available to individual consumers such as myself, I agree to release, waive, discharge and covenant not to sue Arnott, Inc. or any shareholder, director, officer, employee, representative or any party related to, associated with or controlled by, or under the control of, Arnott, Inc. (collectively, the “Releasees”) regarding any and all liabilities, claims, demands, damages or causes of action that may arise from or be related to any harm or injury (including, without limitation, death), that I or my property may sustain, associated with my attempt to install the Products (whether such personal injury, death, or property damage be caused by the negligence or otherwise). “Control” shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of any entity or individual, whether through ownership of voting securities of an entity, through employment, by contract or otherwise.

I am fully aware of the risks associated with attempting to install air suspension equipment. I voluntarily assume full responsibility for any risk of loss, property damage, or personal injury, including death, that I may sustain as a result of participating in any such activity, however caused. I further agree to indemnify and hold harmless Releasees from any loss, liability, damage or cost, including court costs and attorneys’ fees, which may accrue related to my attempted installation of automotive or motorcycle equipment, however caused.

I acknowledge that the Content may contain links to other websites, instructional videos and manuals created or maintained by third parties. I agree and acknowledge that the linking to such third-party websites is for convenience only, and does not constitute an endorsement or approval by Arnott, Inc. of the organizations that operate such third-party websites, the content or other terms of use on such third-party websites, instructional videos, manuals or any products or services offered by third parties. I agree and acknowledge that Arnott, Inc. therefore makes no representations or warranties as to the quality, content or accuracy of such third-party websites, instructional videos, installation manuals or for services or products offered by third parties. I further agree and acknowledge that Arnott, Inc. assumes no liability with respect to my use of any of the foregoing, which I acknowledge and agree shall be at my own risk.

This instrument shall be binding upon the members of my family and my heirs, assigns and personal representatives. I agree and acknowledge that this instrument shall be governed by the laws of the State of Florida and jurisdiction and venue for any disputes arising under this Agreement shall lie exclusively in the state or federal courts located in Orange County, Florida.

I further agree that if any provision of this Agreement is deemed invalid or unenforceable, such provision will be deemed limited by construction in scope and effect to the minimum extent necessary to render it valid and enforceable and, in the event no such limiting construction is possible, the invalid or unenforceable provisions will be deemed severed from this Agreement without affecting the validity of any other term or provision.

In the event a dispute arises regarding this Agreement or the subject matter hereof and suit is instituted, if Releasees prevail in such litigation, Releasees shall be entitled to recover reasonable attorney’s fees and other costs and expenses from Releasor, whether incurred at the trial level or in any appellate proceeding.

By accessing Arnott, Inc. Content (including instructional videos or installation manuals), I signify my assent to this Agreement and agree and acknowledge that I have read the Agreement in its entirety and understand and consent to all of its terms. I agree and acknowledge that Arnott, Inc. may revise and update this Agreement at any time, and that my continued usage of the Site will mean that I accept those changes.

I certify that I have read and fully understand the above General Release, Waiver of Liability and Hold Harmless Agreement. I certify that I am accessing the Content voluntarily and that I understand that by using or viewing the Content, I am giving up substantial rights.
